These Terms of Service ("Terms") govern your use of Baldo, an AI-powered personal assistant operated by ShadiCorp LLC ("ShadiCorp," "we," "us," or "our") and accessible via WhatsApp, SMS, and the website at baldo.ai (the "Service"). By using the Service — including by sending any message to Baldo — you agree to these Terms, and in particular to the assumption of risk and limitation of liability in Section 10. If you do not agree, do not use the Service.
Baldo is an AI assistant that helps you manage email, calendar, tasks, and information through natural conversation on WhatsApp and SMS. The Service uses artificial intelligence (Anthropic Claude) to process your requests and provide responses.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

The Service, including its design, code, and AI integrations, is owned by us and protected by applicable intellectual property laws. You retain ownership of the content you send to the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
The Service integrates with third-party platforms (WhatsApp, Google, Stripe, Anthropic). Your use of these platforms is subject to their respective terms and policies. We are not responsible for the practices or availability of third-party services.
10.1 "As Is" / No Warranties. The Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, ShadiCorp and its owners, officers, employees, agents, suppliers, and licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and reliability, as well as any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, accurate, or error-free, or that it will meet your requirements.
10.2 Autonomous Agent; Assumption of Risk. You understand that Baldo is an autonomous, AI-generated agent that may act on your behalf, and that artificial intelligence is inherently imperfect and unpredictable. By using the Service — including by sending any message to Baldo, tapping a "Text / SMS" or "WhatsApp" button, scanning a QR code, or otherwise initiating or continuing any communication with Baldo — you knowingly and voluntarily assume all risks arising out of or relating to the Service and to Baldo's actions, outputs, and omissions. Your decision to use Baldo, and to permit it to act on your behalf, is made solely at your own risk and on your own responsibility.
10.3 No Liability for the Agent's Actions, Outputs, or Omissions. To the maximum extent permitted by applicable law, ShadiCorp shall not be liable or responsible for any act, omission, output, recommendation, or decision of Baldo, or for any loss, harm, injury, or damage of any kind arising out of or relating to the Service or your reliance on it, regardless of the legal theory and even if ShadiCorp has been advised of the possibility of such damages. Without limiting the foregoing, ShadiCorp shall not be liable for:
You agree that you, and not ShadiCorp, are solely responsible for all consequences of your use of the Service and of any action Baldo takes at your direction or on your behalf.
10.4 Cap on Liability. To the extent ShadiCorp is nevertheless found liable, its total aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of (a) the total amount you paid ShadiCorp for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
10.5 Allocation of Risk. You acknowledge that the disclaimers and limitations in this Section reflect a reasonable allocation of risk between you and ShadiCorp, are a fundamental basis of the bargain between you and ShadiCorp, and will apply even if any remedy is found to fail of its essential purpose.
10.6 Local-Law Exceptions. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, so some of the above may not apply to you; in that case, ShadiCorp's liability is limited to the smallest extent permitted by applicable law. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
You agree to defend, indemnify, and hold harmless ShadiCorp LLC and its owners, officers, employees, agents, suppliers, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of, or inability to use, the Service; (b) any action taken by Baldo at your direction or on your behalf; (c) your violation of these Terms or any applicable law; or (d) your violation of the rights of any third party.
We may update these Terms from time to time. Changes will be posted on this page. Continued use of the Service after changes constitutes acceptance. For material changes, we will notify you via WhatsApp or the website.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in California.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Message frequency varies based on your usage. A typical day includes 5-15 reply messages plus up to 3 proactive messages. Message and data rates may apply from your mobile carrier. Baldo does not charge a per-message fee — service pricing is via monthly subscription (Basic 4.99 USD / Unlimited 19.99 USD).
